Terms and Conditions

These Terms and Conditions (the “Terms”) govern your use of the Instant Voice Agent service (the “Service”) provided by Instant Voice Agent (“Instant Voice Agent,” “we,” “us,” or “our”). By signing up for the Service, configuring an Instant Voice Agent on a phone number, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Instant Voice Agent provides an AI voice agent that answers phone calls on phone lines you designate, qualifies callers, sends SMS and email summaries and confirmations, and integrates with calendar and CRM tools of your choice. The specific features and integrations available to you are described on our website and in your order or setup record.

2. Eligibility and account

You must be at least 18 years old and able to enter into a binding contract to use the Service. You are responsible for the accuracy of the information you provide to us during setup and for safeguarding any credentials you use to access the Service.

3. Your responsibilities

By using the Service, you agree that:

  • You have the right to configure the Service on any phone number you designate, including any number forwarded to an Instant Voice Agent phone number, and you will not misrepresent your authority over that number.
  • You are responsible for complying with all laws and regulations applicable to the calls and messages handled on your account, including call-recording consent laws (such as California’s two-party consent rule and Canadian one-party consent rules), the U.S. Telephone Consumer Protection Act (TCPA) and state equivalents, and Canada’s Anti-Spam Legislation (CASL) where it applies.
  • You will not use the Service to place or receive calls or messages that are unlawful, harassing, fraudulent, deceptive, or intended to impersonate a third party without authorization.
  • You will obtain any consents from your own callers or contacts that are required for the Service to operate on their communications, including consent to receive SMS from a phone number we provide for the Service where applicable.

4. Acceptable use

You will not, and will not attempt to:

  • Use the Service to send spam, unsolicited commercial messages, phishing content, or any content prohibited by our messaging carriers or their policies.
  • Use the Service to violate the privacy, intellectual property, or other legal rights of any person.
  • Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service, except to the extent that restriction is prohibited by applicable law.
  • Interfere with, disrupt, or impose an unreasonable load on the Service or on our subprocessors.
  • Resell, sublicense, or provide the Service to third parties outside your own organization without our prior written consent.

5. SMS and messaging program

The Service includes a messaging program used to deliver call summaries, appointment confirmations, and follow-up messages configured by our customers.

  • Program name. Instant Voice Agent.
  • Opt-in. Callers consent to receive SMS from the Service by providing their phone number during a call and agreeing to receive a confirmation or follow-up, or by otherwise communicating with a phone number configured for use with the Service.
  • Message frequency. Varies based on interaction with the Service. A typical qualified call results in one confirmation message plus any reminders the customer has configured.
  • Rates. Message and data rates may apply per your wireless plan.
  • Opt-out. Reply STOP to any message to stop receiving non-transactional messages from the Service. Reply HELP for help. You can also contact us at hello@instantvoiceagent.com.
  • Carriers. Carriers are not liable for delayed or undelivered messages.
  • Privacy. Your use of the messaging program is also governed by our Privacy Policy, which includes our commitment that phone numbers and SMS consent data are not shared with third parties or affiliates for marketing purposes.

6. Fees, billing, and trials

Fees, included minutes, overage rates, and setup charges are as described on our website or in your order record at the time of sign-up. One-time setup fees are charged before setup begins. Monthly fees are charged at the start of each monthly billing period after any free trial ends.

Free trials, where offered, start on the date your configured voice agent goes live on your phone number, not the date you sign up. You may cancel at any time during the trial without incurring monthly charges; setup fees are non-refundable. After the trial ends, the Service renews month-to-month until cancelled.

Cancellation takes effect at the end of the current billing period. We do not prorate partial months.

7. Third-party services

The Service relies on third-party providers, including telephony providers (such as Twilio), voice-agent platforms (such as Retell AI), language-model providers, calendar providers, and CRM providers. Your use of those third-party services through our Service is subject to their own terms. We are not responsible for their acts or omissions.

8. Service availability

We work to keep the Service available and functioning, but we do not guarantee uninterrupted availability. The Service depends on telephony, messaging, and model providers that occasionally experience outages. We may perform scheduled maintenance and will make reasonable efforts to minimize impact.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY AI-GENERATED OUTPUT WILL BE ACCURATE OR FIT FOR ANY SPECIFIC PURPOSE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL RE-MINDER, ITS AFFILIATES, OR ITS PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OPPORTUNITIES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. RE-MINDER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO RE-MINDER FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You will indemnify, defend, and hold harmless Instant Voice Agent and its affiliates, officers, employees, and providers from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law or regulation in connection with the Service (including call-recording, TCPA, or messaging laws), or (d) any claim by a third party that content or communications you routed through the Service infringed or violated their rights.

12. Termination

You may cancel the Service at any time as described in Section 6. We may suspend or terminate your access if we reasonably believe you have violated these Terms, if required by law, or if continued operation of your account would expose us or our providers to meaningful risk. Sections that by their nature should survive termination will survive.

13. Governing law and disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the courts located in Vancouver, British Columbia for any dispute arising out of or relating to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of the page. If the changes are material, we will provide additional notice (such as by email). Continued use of the Service after the effective date of the updated Terms constitutes acceptance.
